The short answer
What must a DMCC company submit?
Under DMCC’s published application guidelines, the member company uploads its audited financial statements and the auditor’s signed and stamped Audited Financial Statements Summary Sheet using the designated request in the DMCC Member Portal. Submission applies to DMCC companies, including subsidiaries and branch companies.
The company should confirm its precise instructions in the portal. A separate rule on appointing a DMCC-approved auditor may apply to a branch that already has a group auditor; that does not by itself remove the filing requirement.
Who does what?
Directors and management maintain accounting records, prepare and approve the financial statements, and make the relevant accounting judgements. The approved auditor conducts an independent audit and determines the report. The member company is responsible for selecting an eligible auditor and filing the documents through its Member Portal.
SAIF Chartered Accountants is listed as a DMCC-approved auditor under account number 148497. Check the current DMCC Approved Auditors List and Rules when making an appointment.
Which records should be ready?
- DMCC licence, constitutional documents, ownership details and prior-year accounts.
- Final trial balance and general ledger with bank reconciliations and statements.
- Sales, purchases, customer and supplier ageing, contracts and major invoices.
- Inventory count records, valuation method and fixed-asset register where relevant.
- Payroll, related-party balances, loans, leases and significant estimates.
- VAT and Corporate Tax records reconciled to the financial statements.
The list changes with the entity’s activities and audit risks. Good records reduce avoidable queries, but do not eliminate the auditor’s independent procedures.
How the audit proceeds
- Confirm the reporting basis. Identify the entity, financial year, applicable reporting framework, previous opinion and intended users of the statements.
- Make records audit-ready. Reconcile the general ledger to bank, customer, supplier, inventory, payroll, fixed-asset and tax schedules. Explain material movements and estimates.
- Perform independent audit work. The auditor plans and tests risks, obtains evidence, discusses findings and issues an opinion only when the work supports it.
- Approve and submit. Management approves the accounts. The signed audited statements and auditor-stamped Summary Sheet are then prepared for the DMCC Member Portal.
How long does the work take, and what affects the fee?
There is no single honest turnaround or flat fee for every DMCC company. Transaction volume, number of entities, inventory, unusual contracts, related-party activity, condition of the ledger and response time all affect the work. A proposal should identify the reporting period, audit scope, document responsibilities and any separate accounting or submission support.
Start before the six-month filing date. If the books are incomplete, first agree whether accounting clean-up is needed and whether any non-audit work would affect independence.
Corporate Tax is a separate assessment
DMCC is a free zone, but the audit filing and Qualifying Free Zone Person conditions are not interchangeable. A 0% Corporate Tax outcome depends on the applicable conditions and qualifying income, not simply on the licence address. See SAIF’s QFZP assessment guide for that separate question.
