The filing requirement

What does a DMCC company need at year-end?

DMCC’s application guidelines call for a copy of the audited financial statements and the auditor’s signed and stamped Audited Financial Statements Summary Sheet. The company uploads both through its Member Portal within six months after its financial year-end.

Preparing the accounts, appointing the auditor and submitting the pack are distinct responsibilities. An audit opinion depends on the evidence obtained; it cannot be promised before the work is performed.

A practical sequence

From closing the books to uploading the audit pack.

01 · Prepare

Close and reconcile

Finalise the trial balance, bank reconciliations, receivables, payables, inventory and supporting schedules. Identify material estimates and related-party transactions before fieldwork starts.

02 · Audit

Complete independent testing

Agree the reporting framework and scope, provide evidence promptly, resolve audit queries and approve the final financial statements. The auditor forms an opinion from the work performed.

03 · Submit

Prepare the portal pack

Obtain the signed audit report, financial statements and Summary Sheet. The DMCC member company reviews and uploads the required documents through its Member Portal.

Plan around the published filing period. DMCC’s application guidelines specify six months after financial year-end for the audited statements and Summary Sheet. Check the portal for a company-specific notice or extension.

Approved auditor selection

Check the register before appointment.

A DMCC member company is responsible for selecting an auditor on DMCC’s current Approved Auditors List. SAIF Chartered Accountants appears under account number 148497. DMCC’s rules contain a specific branch-company provision where a branch has a group auditor; confirm how it applies before appointment.

The audit is not the same as bookkeeping or preparing the statements. Management retains responsibility for its financial records and approved accounts; the independent auditor examines them under the applicable standards.

Audit readiness

Which records should a DMCC company have ready?

Starting fieldwork with reconciled books saves time and makes the audit evidence easier to trace. The exact request list follows the company’s activities, size, reporting framework and the auditor’s risk assessment. The groups below are a practical starting point, not a universal checklist.

  1. Confirm the company name, DMCC licence, legal form, reporting period and prior-year audited statements.
  2. Close the general ledger and agree the trial balance to the draft financial statements.
  3. Identify material estimates, unusual entries, related-party balances and events after the year-end for discussion with the auditor.
  4. Assign a contact person to answer audit queries and track outstanding evidence before the submission date.

Member Portal submission

What happens after the audit is signed?

DMCC’s application guide calls for the auditor’s signed and stamped Summary Sheet alongside the audited financial statements. Its portal instructions then direct the member to Compliance Services, where both documents are uploaded and the listed auditor’s details are entered.

The portal may extract figures from the Summary Sheet using OCR. A company representative should check those figures against the signed documents, correct any mismatch and acknowledge the request before final submission. Keep the signed pack and the submission confirmation with the company’s records.

For a 31 December financial year-end, the published six-month baseline points to 30 June of the following year. A later DMCC notice or approved extension may change the applicable date, so check the member portal and start the audit well ahead of the stated deadline.

Before pressing submit

Confirm that the legal entity and financial year match the audited statements, both required files are attached, the auditor shown in the portal is correct, and the extracted Summary Sheet numbers agree to the signed copy.

If the business has a branch or group-auditor arrangement, determine how DMCC’s Approved Auditors Rules apply before appointment—not at the upload stage.

Financial reporting and the audit opinion

What is the auditor examining?

01 · Financial statements

IFRS-based annual accounts

DMCC Company Regulations require accounts prepared in accordance with International Financial Reporting Standards, approved by the directors and signed on their behalf. The financial statements, policies and notes must reflect the company’s actual activities and balances, not just a trial balance export.

02 · Independent opinion

Evidence, not a guaranteed outcome

The approved auditor seeks reasonable assurance that the accounts are free from material misstatement. The audit report addresses the applicable financial-reporting requirements and may contain a modified opinion when the evidence or findings call for one.

03 · DMCC-specific checks

Licence and reporting details

DMCC’s Approved Auditor Rules address matters including the reporting period, share capital, bank balances, salary expense disclosures and whether activity is within the company’s licence. The relevance and evidence for each point depend on the entity.

Explore DMCC insights
When must a DMCC company submit audited financial statements?

DMCC’s published application guidelines say the audited financial statements and signed, stamped Summary Sheet are uploaded through the Member Portal within six months after each financial year-end. Check the company’s portal notices for any specific instruction.

Does a DMCC branch need to submit audited financial statements?

DMCC’s submission guidelines say the filing applies to subsidiaries and branches too. Its Approved Auditors Rules provide a particular exception concerning appointment of a DMCC-approved auditor for a branch that has a group auditor; this is not a blanket exemption from submission.

Can SAIF act as a DMCC-approved auditor?

SAIF Chartered Accountants is listed under DMCC auditor account number 148497. Confirm the current approved-auditor register when appointing an auditor.

Is a DMCC free-zone company automatically taxed at 0%?

No. Free-zone location by itself does not establish Qualifying Free Zone Person status or qualifying income. Corporate Tax eligibility requires a separate assessment of the entity, activities, income and applicable conditions.

Who uploads the audited financial statements to DMCC?

The DMCC member company uses its Member Portal to submit the audited financial statements and signed, stamped Summary Sheet. The company should review the portal fields, including any figures extracted from the Summary Sheet, before submitting.

What if the DMCC company did not trade during the year?

No trading does not automatically establish legal dormancy. DMCC Company Regulations Articles 73.4 and 78.11 provide exemptions from preparing individual accounts and audit where a company was dormant throughout the whole financial year, subject to shareholder rights to require accounts or an audit. Check whether the company meets the regulatory definition and what its Member Portal requires.

What documents should we prepare for a DMCC audit?

Typical starting records include the final trial balance, general ledger, bank reconciliations, receivable and payable balances, fixed-asset and inventory records where relevant, prior-year statements, contracts and related-party details. The auditor will request evidence appropriate to the company and its transactions.

Can accounting support and an independent audit be provided together?

Accounting assistance and an audit are different engagements. Any non-audit service for an audit client must be assessed against applicable independence requirements before work is agreed. Management remains responsible for its records and financial statements.

Is the DMCC annual audit the same as a Corporate Tax return?

No. The DMCC submission is a free-zone member compliance requirement. Corporate Tax registration, return filing and Qualifying Free Zone Person eligibility are separate assessments, although the same accounting records and audited statements may be relevant.
